Please read these Terms and Conditions ("Terms") carefully before using the Celestial Systems website located at CelestialSystemsco.com ("the Site") or engaging any of our services ("Services").
By accessing the Site or purchasing Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or engage our Services.
1.1 About Us
Celestial Systems ("Company," "we," "us," or "our") is a systems-first AI automation and marketing agency serving trade service businesses, registered as a Limited Liability Company in the state of Florida.

1.2 Services
Celestial Systems provides digital services including but not limited to:

Lead capture and follow-up systems

Booking and scheduling automation

Review generation systems

Operational dashboards and reporting
Service scope, deliverables, and timelines are defined in individual service agreements executed between Celestial Systems and each client.
1.3 Eligibility
By using this Site or engaging our Services, you represent that:

You are at least 18 years of age

You are a business owner or authorized representative of a business

You have the legal authority to enter into agreements on behalf of your business
1.4 Payments & Invoicing
All services are invoiced via Stripe. Payment is required in accordance with the terms outlined in your individual service agreement. Setup fees are due prior to work commencing. Monthly retainer fees are due on the recurring billing date specified in your agreement.
Setup fees are non-refundable under any circumstances. Monthly retainer fees are non-refundable for the current billing period upon cancellation.
Any billing disputes must be raised in writing to Info@CelestialSystemsco.com within 7 days of the invoice date. Disputes raised after this period will not be considered valid grounds for non-payment.
Late payments may result in suspension of services. Celestial Systems reserves the right to terminate services for non-payment after reasonable notice.
1.5 Intellectual Property
All content, systems, workflows, automations, templates, branding materials, and proprietary frameworks created by Celestial Systems remain the intellectual property of Celestial Systems unless otherwise agreed in writing.
During the active term of services and subject to full payment, Celestial Systems grants the client a limited, non-exclusive, non-transferable license to use the systems and materials delivered as part of the services solely for their own business operations.
Clients retain full ownership of their own business data, customer information, and any pre-existing assets provided to Celestial Systems for use in delivering services.
Upon termination, Celestial Systems retains the right to remove or deactivate any proprietary systems, templates, or tools provided as part of the service.
1.6 Confidentiality
Both parties agree to maintain the confidentiality of any non-public information exchanged during the course of services. This includes but is not limited to business strategies, client data, pricing structures, proprietary systems, and operational frameworks.
This obligation survives termination of services.
1.7 Client Responsibilities
Clients agree to:

Provide accurate and complete information required for service delivery

Respond to reasonable requests for access, approvals, or information in a timely manner

Ensure all content, assets, and data provided to Celestial Systems does not infringe on any third-party rights

Not reverse engineer, resell, or redistribute any systems or materials delivered by Celestial Systems
1.8 Disclaimer of Warranties
Our Site and Services are provided on an "as is" and "as available" basis. Celestial Systems makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee specific results from the use of our Services, including but not limited to revenue increases, lead volume, or booking rates.
1.9 Limitation of Liability
To the fullest extent permitted by applicable law:

Celestial Systems is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption

Our total liability for any claim arising out of or relating to our Services shall not exceed the total amount paid by you to Celestial Systems in the three (3) months preceding the claim
1.10 Indemnification
You agree to indemnify, defend, and hold harmless Celestial Systems, its founders, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content or data you provide to Celestial Systems.
1.11 Force Majeure
Celestial Systems shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, platform outages, internet disruptions, government actions, or third-party service failures including GoHighLevel, Stripe, or Google Workspace.
1.12 Termination
Either party may terminate services by providing written notice in accordance with the terms of the applicable service agreement.
Upon termination:

Access to Celestial Systems tools, automations, and accounts may be revoked

Outstanding balances remain due and payable
-
Confidentiality obligations remain in effect
Data export requests must be submitted prior to termination taking effect. Celestial Systems is not responsible for data loss following account deactivation.
1.12a Phone Handling Upon Termination
Phone numbers managed within the Celestial Systems platform are subject to the following terms upon termination of services.
GHL-Assigned Numbers. Phone numbers provisioned through the GoHighLevel platform during the course of services are not owned by the client and are not transferable to external telecommunications carriers. Upon termination these numbers will be permanently deleted within 14 days in accordance with GoHighLevel's standard data retention policy. Celestial Systems is not liable for the loss of any GHL-provisioned phone number following account cancellation. Clients using call forwarding from an existing carrier number to a GHL-assigned number are responsible for removing the call forwarding configuration on their carrier account upon termination. Celestial Systems will deactivate the GHL-side phone number configuration within the same 14-day notice window. Celestial Systems is not liable for misdirected calls resulting from a client's failure to remove carrier-side call forwarding after account closure.
Ported Numbers. Clients who have ported an existing business phone number into the GoHighLevel platform retain ownership of that number throughout and after the service relationship. Upon termination the client is solely responsible for initiating a port-out request to their desired carrier before account deactivation. Celestial Systems will provide a minimum 21-day written notice before closing any sub-account containing a ported number to allow sufficient time for port-out completion. Celestial Systems is not liable for permanent loss of any phone number resulting from the client's failure to initiate a port-out prior to account deactivation.
1.13 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Florida. Prior to initiating any legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of no less than 30 days.
1.14 Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use of the Site or Services after such updates constitutes your acceptance of the revised Terms.
